The Website is operated by Mother Blackbird LLC, a California limited liability company (“Mother Blackbird,” “we,” “us,” or “our”).

By accessing or using the Website, you agree to these Terms. If you do not agree, please do not use the Website.

1. About Mother Blackbird

Mother Blackbird provides services that may include:

  • Website strategy, design, and development
  • E-commerce development and support
  • Website maintenance and management
  • Digital-product and business consulting
  • Bookkeeping and related business-support services
  • Other services described on the Website or in an individual client agreement

Descriptions of services on the Website are provided for general informational purposes. Specific deliverables, responsibilities, schedules, fees, and other conditions will be established in a separate proposal, statement of work, engagement letter, or service agreement.

Nothing on the Website creates a client relationship by itself. A client relationship is formed only when Mother Blackbird and the client enter into a written agreement.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the Website.

If you use the Website on behalf of a company or other organization, you represent that you have authority to act on its behalf and bind it to these Terms.

3. Permitted Use

You may use the Website only for lawful personal or business purposes, including:

  • Learning about Mother Blackbird and its services
  • Reviewing examples of our work
  • Contacting us about a potential project
  • Subscribing to communications
  • Accessing materials we intentionally make available to you

You may not use the Mother Blackbird name, logo, trade dress, service names, or other brand elements without prior written permission.

6. Portfolio and Third-Party Materials

The Website may display projects, screenshots, trademarks, logos, testimonials, and other materials associated with clients or third parties. Ownership of those third-party materials remains with their respective owners.

Their appearance on the Website does not mean that Mother Blackbird owns them or that their owners sponsor or endorse Mother Blackbird, except where an endorsement is expressly stated.

Portfolio examples illustrate previous work but do not guarantee that another client will receive identical features, performance, business results, or outcomes.

7. Information You Submit

When you submit information through the Website, you represent that:

  • The information is accurate to the best of your knowledge
  • You have the right to provide it
  • Its submission does not violate another person’s rights or applicable law
  • It does not contain malicious code or unlawful material

You retain ownership of material you submit. Website forms and ordinary email are not guaranteed to be secure. Submitting information through the Website does not, by itself, create a confidential, fiduciary, accountant-client, attorney-client, or other protected relationship.

Do not submit passwords, financial-account credentials, Social Security numbers, tax documents, medical information, or other highly sensitive information through general Website forms.

If an engagement requires sensitive information, Mother Blackbird may provide an approved method for transferring it. Any confidentiality obligations associated with client services will be governed by the applicable written service agreement.

Website content is provided for general informational and marketing purposes. Although we try to provide useful and accurate information, we do not guarantee that all content is complete, current, accurate, or suitable for every situation.

You are responsible for evaluating information before relying on it.

Website content does not constitute:

10. Bookkeeping Services

Descriptions of bookkeeping services on the Website are general and do not create an engagement.

Unless a written client agreement expressly provides otherwise:

  • Mother Blackbird does not provide audits, reviews, compilations, assurance, or attestation services
  • Mother Blackbird does not act as a certified public accountant, attorney, investment adviser, or financial planner
  • Bookkeeping services depend on information and records supplied by the client
  • The client remains responsible for the accuracy and completeness of its underlying records
  • The client remains responsible for business decisions, internal controls, legal compliance, tax filings, and review of financial information
  • Mother Blackbird does not guarantee that bookkeeping work will identify every error, irregularity, fraudulent transaction, or legal violation

The specific scope and limitations of bookkeeping services will be governed by a separate written engagement agreement.

11. Estimates and Proposals

Prices, packages, timelines, and service descriptions displayed on the Website are informational unless expressly stated otherwise.

A contact-form submission, consultation, estimate, or preliminary discussion does not obligate either party to proceed. A proposal is valid only for the period stated in that proposal and may be revised or withdrawn before acceptance.

The terms of an executed service agreement will control if they conflict with general information presented on the Website.

12. Payments and Purchases

If the Website permits purchases or payments, you agree to provide current, complete, and accurate billing information.

Payments may be processed by independent payment providers. Mother Blackbird may not directly receive or store your complete payment-card information.

Prices do not include taxes unless expressly stated. Refunds, cancellations, deposits, recurring charges, and payment schedules are governed by the terms displayed at checkout or contained in the applicable service agreement.

Nothing in these Terms changes any nonwaivable consumer right provided by applicable law.

13. Email Communications

If you contact us electronically, you consent to receive responsive communications at the email address or telephone number you provide.

If you subscribe to marketing communications, you may unsubscribe using the link included in the message. Service-related or transactional communications may continue when necessary for an active inquiry, transaction, or client relationship.

These services are controlled by their respective providers and are subject to their own terms and policies. Mother Blackbird does not control and is not responsible for:

17. Limitation of Liability

To the fullest extent permitted by law, Mother Blackbird LLC and its owners, members, employees, contractors, representatives, and agents will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or related to your use of—or inability to use—the Website.

This includes loss of revenue, profits, business opportunities, goodwill, data, or other intangible losses, even if we were advised that such damages were possible.

To the fullest extent permitted by law, Mother Blackbird’s aggregate liability arising from the Website or these Terms will not exceed the greater of:

  • The amount you paid directly to Mother Blackbird specifically for access to the Website during the six months preceding the claim; or
  • One hundred U.S. dollars ($100)

This limitation applies only to Website use. Liability connected with paid client services will be governed by the applicable service agreement.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

18. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Mother Blackbird LLC and its owners, members, employees, contractors, representatives, and agents from claims, liabilities, damages, judgments, losses, and reasonable costs arising from:

  • Your unlawful or unauthorized use of the Website
  • Your violation of these Terms
  • Information or material you submit
  • Your violation of another person’s rights

This obligation does not apply to the extent a claim was caused by Mother Blackbird’s own unlawful conduct.

19. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Subject to any nonwaivable rights under applicable law, disputes arising solely from the Website or these Terms will be brought in the state or federal courts located in Los Angeles County, California. You and Mother Blackbird consent to the jurisdiction of those courts.

An individual service agreement may establish different dispute-resolution terms for disputes arising from paid services.

20. Copyright Concerns

If you believe material appearing on the Website infringes your copyright, send a written notice containing:

  • Identification of the copyrighted work
  • Identification and location of the allegedly infringing material
  • Your name and contact information
  • A statement that you have a good-faith belief that the use is unauthorized
  • A statement that your notice is accurate and that you are authorized to act for the copyright owner
  • Your physical or electronic signature

Send the notice to the contact information in Section 24.

Knowingly making a materially false infringement claim may result in legal liability.

21. Termination

We may suspend or terminate your permission to use the Website if you violate these Terms, threaten the Website or its users, or use the Website unlawfully.

Provisions that logically should continue after termination—including provisions concerning ownership, disclaimers, liability, indemnification, and dispute resolution—will survive.

22. Changes to These Terms

We may update these Terms periodically. When we do, we will revise the effective date at the beginning of the page.

Changes apply prospectively when posted unless otherwise stated. Your continued use of the Website after updated Terms take effect constitutes acceptance of the revised Terms.

Changes to these Website Terms will not retroactively amend a separately executed client agreement.

23. General Provisions

These Terms and the Privacy Policy constitute the agreement between you and Mother Blackbird concerning use of the Website.

If a provision is found unenforceable, it will be modified only as much as necessary, and the remaining provisions will continue in effect.

Our failure to enforce a provision is not a waiver of that provision. You may not transfer your rights or obligations under these Terms without our written permission. Mother Blackbird may transfer these Terms in connection with a reorganization, sale, merger, or transfer of business assets.

Headings are provided for convenience and do not affect interpretation.
